NEITHER WE NOR ANY OF OUR SUPPLIERS OR LICENSORS WILL BE LIABLE TO YOU UNDER ANY CIRCUMSTANCES FOR ANY DIRECT DAMAGES ARISING IN CONNECTION WITH Jreamwriter LLC SERVICES AND CONTENT IN EXCESS OF THE GREATER OF: (A) THE PRICE PAID BY YOU FOR THE PARTICULAR SERVICE OR CONTENT GIVING RISE TO THE DAMAGE (IF APPLICABLE), OR (B) TWO HUNDRED FIFTY DOLLARS (US$250).

APPLICABLE LAW
By visiting jreamwriterllc.com or using the Jreamwriter LLC Service, you agree that the laws of the state of Washington, without regard to principles of conflict of laws, will govern these Conditions of Use and any dispute of any sort that might arise between you and Jreamwriter LLC.

DISPUTES
Except as otherwise specifically provided in the conditions of use applicable to an Jreamwriter LLC product or service, any dispute relating in any way to your visit to jreamwriterllc.com or to products or services sold or distributed by Jreamwriter LLC or through jreamwriterllc.com in which the aggregate total claim for relief sought on behalf of one or more parties exceeds $7,500 will be adjudicated in any state or federal court in King County, Washington, and you consent to exclusive jurisdiction and venue in such courts.

We may provide notices to you by sending them to the email address associated with your account and our notice sent to you by email will be deemed received when sent. PURCHASE TERMS AND CONDITIONS

In addition to the foregoing Jreamwriter LLC site Conditions of Use, the purchase of Jreamwriter LLC Content on this site is subject to the following additional Jreamwriter LLC Purchase Terms and Conditions. By purchasing any Jreamwriter LLC Content from the Jreamwriter LLC site, you agree to be bound by these Jreamwriter LLC Purchase Terms and Conditions, which are subject to change by Jreamwriter LLC at any time, in its sole discretion. Changes to these Jreamwriter LLC Purchase Terms and Conditions will be effective when posted. Continued use of the site and/or any purchase by you from the site constitutes acceptance of the most recent version of these Jreamwriter LLC Purchase Terms and Conditions.

A La Carte Purchases. You may purchase Jreamwriter LLC Content on an "A La Carte" basis. If you purchase Jreamwriter LLC Content on an "A La Carte" basis, you pay for the Jreamwriter LLC Content you select and your credit card is charged at the time you make the purchase. A La Carte purchases can be made by both members of an Jreamwriter LLC Plan (as defined in the Policy on Jreamwriter LLC Content Plans) and non-members. Jreamwriter LLC Plan members receive a discount on A La Carte purchases that non-members do not receive. Details on Jreamwriter LLC Plans are described in the Policy on Jreamwriter LLC Content Plans.

Jreamwriter LLC Plan Member Credit Purchases. Members of certain Jreamwriter LLC Plans may purchase Jreamwriter LLC Content on the Jreamwriter LLC site using Credits, in accordance with the terms set forth in the Policy on Jreamwriter LLC Content Plans. If you are a member of an Jreamwriter LLC Plan and you purchase Jreamwriter LLC Content using Credits, the appropriate number of Credits will be deducted from your membership account, in accordance with the terms set forth in the Policy on Jreamwriter LLC Content Plans.

Subscriptions. You may purchase subscriptions to recurring content such as newspapers and magazines on a monthly basis or other recurring basis depending on the recurrence of the content ("Subscriptions"). Subscriptions may be purchased on an A La Carte basis or by Jreamwriter LLC Plan members with Credits, in accordance with the terms set forth in the Policy on Jreamwriter LLC Content Plans. If you purchase Subscription content, you will be charged the full price of the Subscription at the beginning of the Subscription term, either in the form of a charge on your credit card or a deduction of the appropriate number of Credits from your Jreamwriter LLC Account, depending on the manner in which you paid.

Jreamwriter LLC Content License. When you purchase Jreamwriter LLC Content, Jreamwriter LLC grants you a limited, revocable, non-exclusive, non-transferable license to access such Jreamwriter LLC Content to your computer and/or your device(s) solely for your personal non-commercial use. You may also copy any of your Jreamwriter LLC Content onto a CD or other tangible media device once. You agree to not otherwise copy, reproduce, distribute or use the Jreamwriter LLC Content other than as expressly set forth herein. You will not sell, transfer, lease, modify, distribute or publicly perform the Jreamwriter LLC Content in any manner and you will not exploit it commercially. You agree to not decompile, disassemble, or reverse engineer the Jreamwriter LLC Content, or modify the Jreamwriter LLC Content or create any derivative works therefrom. The license to the Jreamwriter LLC Content you purchase will continue for as long as your copy of Jreamwriter LLC Content exists pursuant to these Jreamwriter LLC Purchase Terms and Conditions.

Pricing. With respect to all A La Carte purchases, except where noted otherwise, any list price displayed represents the full retail price listed on the Jreamwriter LLC Content itself, as determined by Jreamwriter LLC, or as suggested by the manufacturer or supplier, or estimated in accordance with standard industry practice; or the estimated retail value for a comparably featured item offered elsewhere.

Right to Change Prices. Prices of all Jreamwriter LLC Content are subject to change at any time in Jreamwriter LLC's sole discretion. All such pricing changes will be posted to the Jreamwriter LLC site.

Delivery of Jreamwriter LLC Content. All Jreamwriter LLC Content will be delivered to the "My Library" section of the Jreamwriter LLC site once you sign into your Jreamwriter LLC Account.

Risk of Loss. You bear all risk of loss for completing the download of Jreamwriter LLC Content after purchase, once we have made such content available to you (in your "My Library" or otherwise) and for any loss of Jreamwriter LLC Content you have downloaded, including any loss due to a file corruption or a computer or hard drive crash. Purchased Jreamwriter LLC Content will generally continue to be available in your "My Library," but may become unavailable due to potential content provider licensing restrictions or other reasons and Jreamwriter LLC will not be liable to you if Jreamwriter LLC Content becomes unavailable for further download. Accordingly, we encourage you to download Jreamwriter LLC Content promptly after purchase and to make back-up copies. If you are unable to complete a download after having reviewed our online help resources, please contact Jreamwriter LLC customer service.

Availability of Jreamwriter LLC Content. We will exercise reasonable efforts to provide Jreamwriter LLC Content in a timely manner. On occasion, technical or supplier problems may delay or prevent delivery. You agree that availability of Jreamwriter LLC Content that is not yet created at the time you purchase such content or expect such content to be delivered (such as, for example, time-dated programming in connection with a Subscription) is subject to the creation of the content by the supplier. Your sole remedy with respect to Jreamwriter LLC Content that is not delivered within a reasonable period will be replacement of such Jreamwriter LLC Content with comparable programs or an extension of the applicable Subscription period or, in the event neither is available, a pro rata credit on your Jreamwriter LLC Account for the amount of such Jreamwriter LLC Content.

Limited Express Warranty. Except as expressly provided herein, any Jreamwriter LLC Content you purchase is provided "AS IS" and "AS AVAILABLE." The Jreamwriter LLC Service is only warranted as stated below:

Jreamwriter LLC warrants that (i) the Jreamwriter LLC Content that you license directly through the Jreamwriter LLC Service will be of a quality suitable for human listening, and (ii) the media in which the Jreamwriter LLC Content is provided will be free from material defects on delivery, if, in each case, the Jreamwriter LLC Content is obtained pursuant to Jreamwriter LLC's instructions using equipment that is in good operating condition and meets the specifications for the Jreamwriter LLC Service as provided by Jreamwriter LLC.

If you find a defect in Jreamwriter LLC Content, you may call Jreamwriter LLC customer service Jreamwriter LLC customer service and Jreamwriter LLC will consult with you on proper downloading procedures and hardware requirements. If you are still unable to download a working copy of the Jreamwriter LLC Content or the Jreamwriter LLC Content is not as warranted above, Jreamwriter LLC will provide you with replacement Jreamwriter LLC Content or a credit on your Jreamwriter LLC Account, as determined by Jreamwriter LLC in its sole discretion, if you advise Jreamwriter LLC within 7 days of your first attempt to download the material by calling Jreamwriter LLC customer service Jreamwriter LLC customer service or submitting the customer service request form available at the site, provided you meet the registration, technical, and payment requirements for the Jreamwriter LLC Service.

THE FOREGOING WARRANTIES DO NOT COVER DEFECTS CAUSED BY VIRUSES, DISABLING CODES, ACCIDENT, MISHANDLING, MISUSE, IMPROPER INSTALLATION, SERVICE OR MAINTENANCE, MODIFICATION OF ANY Jreamwriter LLC SOFTWARE OR Jreamwriter LLC CONTENT OR THE MEDIA ON WHICH ANY Jreamwriter LLC SOFTWARE OR Jreamwriter LLC CONTENT ARE FURNISHED, OR THE USER'S LACK OF THE NECESSARY HARDWARE/SOFTWARE.

OTHER THAN AS EXPRESSLY PROVIDED ABOVE, WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE Jreamwriter LLC SERVICE AND Jreamwriter LLC CONTENT. YOU EXPRESSLY AGREE THAT YOUR USE OF THE Jreamwriter LLC SERVICE AND Jreamwriter LLC CONTENT IS AT YOUR SOLE RISK. TO THE FULL EXTENT PERMISSIBLE BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTY OF NON-INFRINGEMENT. WE DO NOT WARRANT THAT Jreamwriter LLC CONTENT IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NO Jreamwriter LLC EMPLOYEE, AGENT, DEALER, DISTRIBUTOR, OR RESELLER IS AUTHORIZED TO MAKE ANY MODIFICATION OR ADDITION TO THE WARRANTIES STATED ABOVE.

Purchases of Devices

General. If you purchase a device from Jreamwriter LLC in connection with an Jreamwriter LLC Plan or special promotional offer, these terms apply to your purchase.

Product Descriptions. Jreamwriter LLC attempts to be as accurate as possible. However, Jreamwriter LLC does not warrant that product descriptions and related content are accurate, complete, reliable, current, or error-free. If a product offered by Jreamwriter LLC itself is not as described, your sole remedy is to return it in unused condition.

Pricing. Except where noted otherwise, the List Price displayed for devices and accessories on our website represents the full retail price listed on the product itself, suggested by the manufacturer or supplier, or estimated in accordance with standard industry practice; or the estimated retail value for a comparably featured item offered elsewhere.

Risk of Loss. All items purchased from Jreamwriter LLC are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

Return Policy. Jreamwriter LLC will accept returns of physically tangible devices for a refund within 10 days, unless otherwise noted that the product purchased is non-refundable. To obtain a refund, less shipping, handling and restocking fees, you must return the physical device, undamage/mutalated, with the receipt and original packaging. Returns submitted after 10 days or without the receipt and original packaging WILL NOT be accepted. If your return request in for non-physical, intangible devises, products, or services, or if your return request involves a subscription purchase, these request are canceled STRICTLY in accordance with the Policy on Jreamwriter LLC Content Plans, Member Agreements, and Consignment Agreements.

Purchases of Gift Certificates, Gift Memberships, and Promotional Claim Codes

1. The terms and conditions for Gift Certificates, Gift Memberships and Promotional Claim Codes are set forth in the Jreamwriter LLC Terms and Conditions for Gift Certificates, Gift Memberships, and Promotional Claim Codes.

Fees and Credits

Fees. You agree that you will pay timely, and we may charge your credit card for, any Jreamwriter LLC Content, accessory, and related additional amounts (including taxes and late fees, as applicable) ("Jreamwriter LLC Purchase Fees") as may be accrued in connection with any purchase you make. All Jreamwriter LLC Purchase Fees will be billed to the credit card you designated during the registration process. If you want to designate a different credit card, you must change your credit card information online at the "My Account" section of the Jreamwriter LLC site or by contacting Jreamwriter LLC customer service. There may be a temporary disruption in your ability to use the Jreamwriter LLC Service until Jreamwriter LLC verifies the new credit card information. You agree that Jreamwriter LLC may use all legal means available to collect Jreamwriter LLC Purchase Fees should our attempts to charge your credit card fail for any reason, including any collection agency and legal fees.
Credits for Fees Paid. In any case where Jreamwriter LLC agrees to issue you a credit for purchases of Jreamwriter LLC Content that were not completed due to technical difficulties or other issues or purchases of devices that you are permitted to return, such credits will be issued in the same form as the means of purchase (i.e., if the purchase was made through a charge to a credit card, the corresponding amount will be credited back to your credit card account. If the purchase was made by an Jreamwriter LLC Plan member using Credits, the corresponding number of Credits will be credited back to the member's Jreamwriter LLC Plan.)

POLICY ON MEMBERSHIP AND SUBSCRIPTIONS

In addition to the foregoing Jreamwriter LLC site Conditions of Use and Jreamwriter LLC Purchase Terms and Conditions, membership in an Jreamwriter LLC membership plan is subject to this Policy on Jreamwriter LLC Content Plans, and to payment of the applicable periodic membership fee plus applicable taxes. Jreamwriter LLC offers various plans for using and paying for the Jreamwriter LLC Service on the site, as described below (collectively, "Jreamwriter LLC Plans"). Membership in an Jreamwriter LLC Plan is nontransferable. By subscribing to an Jreamwriter LLC Plan, you agree to be bound by this Policy on Jreamwriter LLC Content Plans, which is subject to change by Jreamwriter LLC at any time, in its sole discretion. Changes to this Policy on Jreamwriter LLC Content Plans will be effective when posted. Continued use of the site and/or any purchase by you from the site constitutes acceptance of the most recent version of this Policy on Jreamwriter LLC Content Plans.

Jreamwriter Digi Media Membership Plans. There are three Jreamwriter Digi Media Membership Plans: the Premium Membership Plan, the Elite Membership Plan, and the Jreamwriter Digi Media Basic Subscription. The Gold Membership Plan and the Elite Membership Plan permit members to purchase Jreamwriter LLC Content from the Jreamwriter LLC site using Credits (defined below) and at a discount below the non-membership cash price. The permitted discount for your plan will be specified at the time you start your membership. Jreamwriter Digi Media Membership Plans are automatically renewable on a monthly or yearly basis, depending on the plan, until terminated by you or us in accordance with this Policy on Jreamwriter LLC Content Plans. Jreamwriter LLC will charge your credit card the applicable membership fee on your renewal date.

Premium Membership Plan. The Premium Membership Plan is available on a monthly or annual basis. Jreamwriter LLC will charge your credit card the applicable monthly or yearly fee for the Premium Membership Plan on your monthly or yearly renewal date, depending on which plan you select. The Premium Membership Plan entitles you to a certain number of Membership Credits (defined below), specified at the time you join, which you can use to purchase Jreamwriter LLC Content on the Jreamwriter LLC site. If you sign up for the monthly Premium Membership Plan, you will receive your Membership Credits monthly on an apportioned basis. If you sign up for the annual Premium Membership Plan, you will receive all your Membership Credits at the start of your membership. Premium Members have the option to rollover a certain number of unused Credits ("Jreamwriter Digi Media Rollover Credits"). Monthly Premium Members may rollover Jreamwriter Digi Media Rollover Credits from month to month during each year of their membership. The number of permissible Jreamwriter Digi Media Rollover Credits will be specified at the time the monthly Premium Member starts their plan. If in any month a monthly Premium Member has more than the permitted number of Jreamwriter Digi Media Rollover Credits, the additional unused credits will automatically expire. Monthly Premium Subscription members may also roll over their permissible number of Jreamwriter Digi Media Rollover Credits at the end of the year into the next year's plan. Annual Premium Members may roll over up to 6 unused Credits to the next year of their membership. All Premium Members receive one complimentary Subscription to Jreamwriter LLC Content. The specific Jreamwriter LLC Content included in the Subscription is determined by Jreamwriter LLC, in its sole discretion.

Elite Membership Plan. The Elite Membership Plan is generally the same as the Premium Membership Plan, however, the number of Credits that Elite Members receive is greater. The Elite Membership Plan is available either on a monthly or annual basis. Jreamwriter LLC will charge your credit card the applicable monthly or yearly fee for the Elite Membership Plan on your monthly or yearly renewal date, depending on which plan you select. The Elite Membership Plan entitles you to a certain number of Membership Credits, specified at the time you join, which you can use to purchase Jreamwriter LLC Content on the Jreamwriter LLC site. If you sign up for the monthly Elite Membership Plan, you will receive your Membership Credits monthly on an apportioned basis. If you sign up for the annual Elite Membership Plan, you will receive all your Membership Credits at the start of your membership. Monthly Elite Members may rollover Jreamwriter Digi Media Rollover Credits from month to month during each year of their membership. The number of permissible Jreamwriter Digi Media Rollover Credits will be specified at the time the monthly Elite Member starts their plan. If in any month a monthly Elite Member has more than the permitted number of Jreamwriter Digi Media Rollover Credits, the additional unused credits will automatically expire. Monthly Elite Subscription members may also roll over their permissible number of Jreamwriter Digi Media Credits at the end of the year into the next year's plan. Annual Elite Members may roll over up to 12 unused Credits to the next year of their membership. All Elite Members receive one complimentary Subscription to Jreamwriter LLC Content. The specific Jreamwriter LLC Content included in the Subscription is determined by Jreamwriter LLC, in its sole discretion.
Jreamwriter Digi Media Basic. The Jreamwriter Digi Media Basic Subscription is available only on an annual basis and only to Premium Members and Elite Members who want to downgrade their plan type. Jreamwriter Digi Media Basic Subscription members do not receive Membership Credits (defined below) but a Premium Member or Elite Member converting to the Jreamwriter Digi Media Basic Subscription may have Jreamwriter Digi Media Rollover Credits that they can rollover when they downgrade. Jreamwriter Digi Media Basic Subscription members also continue to receive the discount on A La Carte purchases available to Jreamwriter LLC Plan members. If you downgrade to the Jreamwriter Digi Media Basic Subscription, each year, on the yearly renewal date, Jreamwriter LLC will charge your credit card the yearly plan fee.

Basic Membership Plan. The Basic Membership Plan is available only to existing Basic Members. The Basic Membership is no longer available to current Jreamwriter Digi Media Members. Any changes to the Basic Membership Plan will be communicated to existing Basic Members by Jreamwriter LLC via email.

Committed Membership Plans. Committed Membership Plans consist of the monthly Premium Membership Plan and the monthly Elite Membership Plan. For Committed Membership Plans, however, members receive a gift for joining (such as a free digital media device or a discount on the purchase of a device) in exchange for their commitment to remain a member for the period of time specified at the time of enrollment. You may elect to pay the membership fee for your Committed Membership Plan at the time you enroll or you may elect to pay fees monthly. In either case, by enrolling in the Committed Membership Plan, you acknowledge that you will not be able to cancel the plan prior to the expiration of the initial term of the plan.

Custom Membership Plans. Jreamwriter LLC may, in its sole discretion, offer from time to time certain custom membership plans, the terms of which may vary from the Jreamwriter Digi Media Membership Plans. The terms of Custom Membership Plans will be set forth in the plan description at the time you sign up. Except as expressly set forth in the terms for a Custom Membership Plan, this Policy will apply to your participation in any Custom Membership Plan.

Trial Offers. Jreamwriter LLC may, in its sole discretion, make available free or paid trial offers for a monthly or annual Premium or Elite Membership Plan (a "Trial Offer"). Trial Offers are generally for a short period of time (e.g., 30 days) (the "Trial Period") and are available for free or for a fee. The length and cost of the Trial Offer will be specified at the time of joining. Those who participate in a Trial Offer ("Trial Members") will have the same membership benefits as the related Premium or Elite Membership Plan. Trial Members may upgrade or downgrade their Premium or Elite Trial Membership Plan during their Trial Offer period, subject to the rules relating to upgrading and downgrading specified below. Upon expiration of the Trial Period, you will automatically be joined into the related Premium or Elite Membership Plan and Jreamwriter LLC will charge your credit card the relevant monthly fee or annual fee, as applicable. YOU MUST CANCEL YOUR SUBSCRIPTION PRIOR TO THE END OF THE TRIAL OFFER TO AVOID CHARGES TO YOUR PAYMENT METHOD. Trial Offers are limited to one per household. Terms of trial offers may vary. Specific details of your trial not covered in this Policy on Jreamwriter LLC Content Plans will be explained on the web page you are on prior to beginning the sign-up process or as part of the sign-up process.

Credits. Jreamwriter LLC Plan Members receive member credits that may be used to purchase Jreamwriter LLC Content on the Jreamwriter LLC site ("Credits"). Credits may only be used to purchase Jreamwriter LLC Content. If you purchase Jreamwriter LLC Content in excess of the number of available Credits under your Jreamwriter LLC Plan, your credit card will be billed the discounted price for the applicable Jreamwriter LLC Content available to Jreamwriter LLC Plan members. Credits include Membership Credits, Complimentary Credits, and Trial Bonus Credits, as described below. Except in the case of Friend Credits, Credits are nontransferable. Credits expire in accordance with the terms of this Policy on Jreamwriter LLC Content Plans.

Membership Credits. Membership Credits are Credits that Premium and Elite Members receive on a monthly or annual basis. The number of Membership Credits you receive depends on the level and type of plan and is specified at the time you start your membership. Membership Credits are available for the period of time specified, after which time the Credits expire.

Jreamwriter Digi Media Rollover Credits. All Premium Members and all Elite Members are permitted a certain number of Jreamwriter Digi Media Rollover Credits, as described above.

Complimentary Credits. Complimentary Credits are Credits that Jreamwriter LLC gives Jreamwriter LLC Plan members and non-members through goodwill, member anniversaries, no-risk listen opportunities, or in other situations, in each case, as determined by Jreamwriter LLC in its sole discretion. Complimentary Credits will be credited to your Jreamwriter LLC Account. Recipients of Complimentary Credits receive an email notification regarding the addition of the Credits to their Jreamwriter LLC Account. Complimentary Credits expire one year after the date of issue. You must have a Jreamwriter LLC Account in order to receive Complimentary Credits.

Trial Credits. Trial Credits are Credits that Trial Members receive as part of a Trial Offer. The number of Trial Credits will be specified at the start of the trial membership. Trial Credits expire in the same manner as Membership Credits, or at the end of the Trial Period if the Trial Members cancels their membership prior to the expiration of the Trial Period. Trial Members may keep any Jreamwriter LLC Content they purchase using Trial Credits even if the Trial Member cancels their membership prior to the expiration of the Trial Period.

Jreamwriter LLC Plan Prices. Prices of Jreamwriter LLC Plans are subject to change at any time upon notice from Jreamwriter LLC via email. In the event of such a change, you will have the right to cancel your Jreamwriter LLC Plan without penalty within ten (10) days of receipt of notice, effective as of the date of the next billing cycle. Prices of Committed Membership Plans are not subject to change during the initial commitment period.

Payment. You agree that you will pay timely, and that we may charge your credit card for, all fees applicable to your Jreamwriter LLC Plan and any related additional amounts (including any taxes and late fees) as may be accrued in connection with your Jreamwriter LLC Plan. All Jreamwriter LLC Plan fees will be billed to the credit card you designated during the registration process. If you want to designate a different credit card, you must change your credit card information online at the "My Account" section of the Jreamwriter LLC site or by contacting Jreamwriter LLC customer service. There may be a temporary disruption in your ability to use the Jreamwriter LLC Service until Jreamwriter LLC verifies the new credit card information. You agree that Jreamwriter LLC may use all legal means available to collect Jreamwriter LLC Plan fees should our attempts to charge your credit card fail for any reason, including any collection agency and legal fees.

Upgrading or Downgrading a Plan. You may upgrade your Jreamwriter LLC Plan on the Jreamwriter LLC site. You may also, subject to any minimum term commitment that may apply, downgrade your Jreamwriter LLC Plan online or by contacting Jreamwriter LLC customer service. Such Jreamwriter LLC Account changes will be effective as of the date of your request. You agree to pay any additional fees that may be applicable to your new Jreamwriter LLC Plan. Jreamwriter LLC Plans may be upgraded or downgraded as follows:

Premium Membership Plans.

Upgrades. Premium Members can upgrade to a Elite Membership Plan. Any available Credits, including any Jreamwriter Digi Media Rollover Credits, that a Premium Member has accumulated will be transferred to the new upgraded plan in accordance with the rules for the new membership plan. Upon any upgrade, Jreamwriter LLC will charge your credit card the additional fee for the Elite Membership Plan.
Downgrades. Premium Members can downgrade to the Jreamwriter Digi Media Basic Subscription. Any available Credits, including any Jreamwriter Digi Media Rollover Credits, will be transferred to the new downgraded membership plan, in accordance with the rules for such new membership plan. Any complimentary Subscription that you receive as part your Premium Membership Plan will expire upon any downgrade to the Jreamwriter Digi Media Basic Subscription.

Elite Membership Plans.

Elite Members cannot upgrade to any other membership plan. Elite Members can downgrade to either a Premium Membership Plan or the Jreamwriter Digi Media Basic Subscription. Any available Credits, including any Jreamwriter Digi Media Rollover Credits that have not expired, will be transferred to the new downgraded membership plan, in accordance with the rules for such new membership plan. Any complimentary Subscription that you receive as part your Elite Membership Plan will expire upon any downgrade to the Jreamwriter Digi Media Basic Subscription.

Committed Membership Plans. If you joined a Committed Membership Plan, you may only upgrade or downgrade to another Jreamwriter LLC Plan once the term for your current Committed Membership Plan expires. After the expiration of the Commitment Period, members will automatically be a regular Premium Member or Elite Member, depending on the plan they chose, and may upgrade or downgrade their plan, as set forth in this Policy on Jreamwriter LLC Content Plans.

Jreamwriter Digi-Media Basic Subscription. Premium and Elite Members who have downgraded to the Jreamwriter Digi Media Basic Subscription can upgrade again to either a Premium Membership Plan or a Elite Membership Plan at any time. If member has any Credits, such Credits will be transferred to the new membership plan and may become Jreamwriter Digi Media Rollover Credits, subject to the rules for the new membership plan. Jreamwriter Digi Media Basic Subscription Members cannot downgrade to another Jreamwriter LLC Plan.

Cancellation of Jreamwriter LLC Plans. Subject to the terms of this Policy on Jreamwriter LLC Content Plans, in most cases, you may cancel your Jreamwriter LLC Plan online or by contacting our Jreamwriter LLC customer service. Upon cancellation of any membership, all available Credits, other than Gift Credits or Complimentary Credits, will expire, and all complimentary Subscriptions will expire. Jreamwriter LLC's responsibility for improper cancellation is limited to reinstating your Jreamwriter LLC Plan or offering a refund, at Jreamwriter LLC's sole discretion.

Jreamwriter Digi Media Membership Plans. Members belonging to a monthly or annual Premium Membership Plan, Elite Membership Plan, or Jreamwriter Digi Media Basic Subscription may cancel their membership at any time. Members will not receive a full or partial refund of any monthly or annual fee already paid. Upon cancellation, all available Credits and complimentary Subscriptions will expire.
Committed Membership Plans. Members belonging to Committed Membership Plans may not cancel their membership until the expiration of the Commitment Period. After the expiration of the Commitment Period, such members will automatically be a regular Premium Member or Elite Member, depending on the plan they chose. These members may cancel their membership at any time as set forth in this Policy on Jreamwriter LLC Content Plans.

Trial Offers. Trial Offers may be cancelled only during the Trial Period. If not cancelled, the Trial Offer will be converted to the applicable membership plan for the trial, which may then be cancelled as set forth in this Policy on Jreamwriter LLC Content Plans.

Subscriptions. With respect to any Subscriptions purchased on an A La Carte basis, if you cancel your Subscription before the initial term has expired, you may be entitled to a refund depending upon whether there is a shorter Subscription available for the relevant Jreamwriter LLC Content. You will be obligated to pay based upon the Subscription term length closest to the number of months your Subscription was active. For example, if you signed up for a 12 month Subscription and wish to cancel after 5 months, then: (A) if a 6 month Subscription term is available, you would be charged for a 6 month Subscription and refunded the difference between the 12 month and 6 month Subscriptions, or (B) if only a 12 month term is available, you would be charged for the 12 month Subscription. You may cancel a free Subscription to which you are entitled under your Jreamwriter Digi Media Membership Plan without receiving any credit or refund.

Devices. If your Membership Plan includes the purchase of a device, you may return your device and cancel your Membership Plan within the first 30 days and you will receive a full refund for the device less shipping, handling and restocking fees, so long as you have not used any of your Membership Credits or your membership discount during such 30 day period. To obtain a refund, you must return the device with the receipt and original packaging. Returns submitted after thirty 30 days or without the receipt and original packaging will not be accepted. When you return your device, the corresponding Membership Plan will be canceled as well.

Purchase Terms. All purchases you make under any Jreamwriter LLC Plan are subject to the Jreamwriter LLC Purchase Terms and Conditions.

Termination. If you fail, or we suspect that you have failed, to comply with any of the provisions of this Policy on Jreamwriter LLC Content Plans or any term or condition of any policy applicable to the Jreamwriter LLC Service, including the Jreamwriter LLC Purchase Terms and Conditions and the Jreamwriter LLC site Conditions of Use, Jreamwriter LLC, at its sole discretion, may (a) terminate your enrollment in any Jreamwriter LLC Plan and/or your Jreamwriter LLC Account and you will remain liable for all amounts due under your Jreamwriter LLC Account up to and including the date of termination; and/or (b) terminate your rights to use any Jreamwriter LLC Content, the site, or any Jreamwriter LLC Software; and/or (c) preclude access to the Jreamwriter LLC Service (or any part thereof). We will notify you if we take any of the foregoing actions.

POLICY ON CONSIGNMENT PRACTICES

General Terms.

In this agreement, “we”, “us”, “our”, “JLLC”, “JLLC BOOKS”, “Shaedaemo Publications”, "Drake Urban Books" and “Jreamwriterllc.com” represents Jreamwriter LLC. “You”, or “your” means you the consignee/content provider. “Content” means any product or service you submit for inclusion in our e-store or digital media library or otherwise offer for sale or viewing on the jreamwriterllc.com website.

In this agreement, you agree to submit your digital content through our website, adhering to the rules, instructions, instructions, guidelines, terms, conditions, policies, and other information given during the content/author registration process and other pages of the jreamwriterllc.com website. You understand that you will be paid according to terms of this consignment agreement for each unit of content you submit AFTER it is sold and payable in alignment with our batch payout schedule. Your participation in our e-store, our digital media library, or other related service where your content is being sold or viewed through our website is subject to the terms of this consignment agreement in addition any other terms and conditions detailed on the jreamwriterllc.com website; each of which may be modified periodically at our discretion. In the event of any conflicts arise between the terms of this consignment agreement and any other the terms and conditions detailed on the Jreamwriter LLC, the terms of this consignment agreement control your participation. This consignment agreement can be cancelled at any time by us or you, however you must give us thirty (30) days written notice of your cancellation, and up to ninety (90) days to completely close out your account, which allows us time to compile your royalties and send you your final payout. Please review termination section of this consignment agreement. Cancellations are final and it should be of the understanding that an account cancellation action CANNOT be undone; you will have to register as a new client should you decide you wish to resume a consignment relationship with us. Commencement of this consignment agreement begins when you receive your registration confirmation email from us, and it shall end when terminated by either party as described herein.

Electronic communications.

When you visit jreamwriterllc.com or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on this site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal mandate that require communications be in writing.

Your consent to electronic agreements is necessary for use of the Jreamwriter LLC Service. You may withdraw consent by sending Jreamwriter LLC an e-mail; however, this will result in the termination of your ability to use the Jreamwriter LLC Service.

Author fees.
Minus promotion discounts or fee waivers, which will be offered from time to time, Jreamwriter LLC shall impose a non-refundable storage fee to authors/content providers, payable on the one-year anniversary of your content/author registration, and every year an author/content provider elects to keep an active author/content profile on our website.

For promotional purposes and/or special circumstances, from time to time, we may, out our sole discretion, waive certain fees.

At the time of author/content registration, author/content providers can elect to have their ebooks/digital media content randomly featured throughout our website for the duration of their active profile on our website, and this opt-in does have a cost associated with it. Authors/content providers that do not elect to be featured are added to the e-store bookshelf but there is no guarantee your ebook/digital media content will be included in featured ebooks/digital media content and author promotions and we are under no obligation to do.

Rejections.
We may reject any ebook or digital media content you submit to us that is defective, damaged, threatening, offensive, or otherwise deemed by us to be “not saleable“.

Pricing.
With the pricing range given at the time of your content upload, you may choose whatever suggested retail price ("List Price") you would like, however, we will determine, at our sole discretion, the price at which we sell content to our customers, meaning we reserve the right to discount your suggested retail price to a price that is competitive and comparable to ebooks or digital media content which is similar to your offering.

This consignment agreement requires a minimum 70/30 split on e-book store sales proceeds; 70% to the author/content provider and 30% to us, Jreamwriter LLC, and is this percentage split is independent of any other fees mentioned in this consignment agreement.

Digital Media Returns.

Returns are considered for customers that report and prove to have purchased defective, damaged, or otherwise deemed “not saleable” e-books or digital media content from you. If it is proven that you have submitted e-books or digital media content that is defective, damaged, or otherwise deemed “not saleable” you will receive electronic notice of such report, and the reporting customer(s) will be issued a full refund at your expense, and your account will be restricted until the defective, damaged, or otherwise deemed “not saleable” ebook and/or digital media content is replace with defectless ebooks and/or digital media content that is saleable.

Product deletions.

If we determine that there is insufficient customer demand for your ebook and/or digital media content, we may choose to no longer carry it. In such case, we may elect to delete and/or return your ebook and/or digital media content to you. You pay all charges, if any, incurred to route your ebook and/or digital media content to your location (including programming, data deletion, packaging, insurance, and freight, whichever expense applies to our collection and housing of your ebook and/or digital media content). Also, if we have an outdated or incorrect address for you, or if we cannot charge to your freight account, we may liquidate your ebook and/or digital media content and keep the proceeds to cover the expense, destroy your ebook and/or digital media content, or ship yourebook and/or digital media content to you and deduct the charges from any payments due to you from you ebook and/or digital media content sales.

LICENSE, REPRESENTATIONS, AND WARRANTIES

You represent and warrant to us that (a) you have full authority to grant the licenses and permission described in this consignment agreement; (b) you have valid legal title to all ebook(s) and/or digital media content and all rights necessary to distribute the ebook(s) and/or digital media content and to otherwise perform this consignment agreement; (c) your sale of ebook(s) and/or digital media content to us, and our promotion, distribution, and resale of them, will not violate any contract by which you are bound or any applicable law or regulation; (d) you will deliver all ebook(s) and/or digital media content to us in new, merchantable condition; and (e) the ebook(s) and/or digital media content, and our promotion, distribution, and resale of them, will not violate or misappropriate any copyright, trademark or other intellectual property or other rights of any third party. At our option, and at your cost, you will replace or accept the return of any ebook(s) and/or digital media content that does not comply with these representations and warranties.

LIMITED LICENSE GRANT TO DESCRIPTIVE MATERIALS

You grant to Jreamwriterllc.com a royalty-free, nonexclusive, worldwide, perpetual, irrevocable right and license to (a) use, reproduce, perform, display, distribute and prepare derivative works from the Descriptive Materials (defined below) and (b) sub-license the foregoing rights. "Descriptive Materials" means all available information about each ebook(s) and/or digital media content, including without limitation artwork and text for the packaging (including for example, cover, jacket, jacket flaps, spine and front and back matter); promotional photographs and descriptions, blurbs, author bios, Library of Congress information, title page information, tables of contents, indices, complete ebook(s) and/or digital media content descriptions, reviews and any other materials concerning the ebook(s) and/or digital media content.

RELATIONSHIP TO PARTIES

You and Jreamwriter.com are independent contractors, and nothing in this consignment agreement creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship, or any kind of exclusive relationship, between the you and us.

CONFIDENTIALITY
You may, on occasion, receive information relating to Jreamwriter LLC, jreamwriterllc.com, and/or our affiliates that is not known to the general public ("Confidential Information"). Confidential Information includes, without limitation, information relating to sales consummated under us. You agree that all Confidential Information will remain the exclusive property of Jreamwriter LLC and jreamwriterllc.com; AND you will use Confidential Information only as is reasonably necessary for your participation in this consignment agreement and the terms and conditions stated herein; AND you will not disclose our Confidential Information to any individual, company, or other third party.

PUBLICITY
You may not issue any press release or make any public statement related to Jreamwriter LLC [JLLC], JLLC Books, Drake Urban Books, and/or Shaedaemo Publications, nor use our name(s), trademark(s) or logo(s) in any way (including in promotional material) of jreamwriterllc.com or any of its affiliates without our advance written permission, or misrepresent or embellish the relationship between us in any way.

INDEMNIFICATIONS
You shall indemnify, defend, and hold harmless Jreamwriterllc.com, its affiliated companies, and their respective officers, directors, employees, and agents against any claim, loss, damage, judgment, settlement, cost, expense, or other liability, including, and without limitation, attorneys' fees, that may or may not arise from or be related to any ebook(s) and/or digital media content that you provide singularly or collectively (“claims“), and/or your alleged breach of any representations or warranty contained in this consignment agreement. You will use counsel reasonably and satisfactorily to defend each claim. If at any time we reasonably determine that any claim might adversely affect us, we may take control of the defense at your reasonable expense and without affecting your “indemnification” and “hold harmless” obligations. You may not consent to the entry of any judgment or enter into any settlement without our prior written consent, which we will not unreasonably withhold.

CONSIGNMENT REVISIONS, CONTINUED USE CLAUSE, & TERMINATION TERMS

We reserve the right to change any of the terms and conditions contained in this consignment agreement, including any instructions, rules, policies, guidelines, or other information on the site, at any time and at our sole discretion. Any changes will be updated herein or posted on our website. You are responsible for reviewing any applicable changes or notices and YOUR CONTINUED PARTICIPATION AFTER SUCH POSTING IS MADE AVAILABLE FOR VIEWING AS STATE HEREIN, CONSTITUTES AS YOUR ACCEPTANCE OF SUCH CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES TO THIS AGREEMENT, YOU MUST TERMINATE AS DESCRIBED HEREIN.

Termination.
1. You may terminate this consignment agreement at any time, with or without cause, by giving us written notice of such termination. Your termination is effective 30 days from the date we receive your written notice. You must continue to accept, confirm, and fulfill all orders that we send to you prior to the effective date of termination.
2. We may terminate this consignment agreement at any time, with or without cause, by giving you written notice of such termination, which is effective immediately (or on a later date as specified in the notice).
3. Following any termination, and when applicable, Jreamwriter LLC will have the option to either (1) purchase any or all ebook(s) and/or digital media content in our possession at the price described in the PRICING section of this consignment agreement, or (2) return the ebook(s) and/or digital media content to you. All returns will be at your expense and subject to the provisions in the CUSTOMER RETURNS section of this consignment agreement. All provisions that reasonably may be construed as surviving the expiration or termination of this consignment agreement will survive.

MISCELLANEOUS

· Choice of Law. This consignment agreement is governed by the laws of the State of Georgia, without reference to rules governing choice of laws or the Convention on Contracts for the International Sale of Goods.

· Assignment. You may not assign this consignment agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this consignment agreement will be binding on, inure to, and be enforceable against the parties and their respective successors and assigns.

^·No Waiver. Our failure to enforce your strict performance of any provision of this consignment agreement will not constitute a waiver of our right to enforce such provision or any other provision of this consignment agreement subsequently.

This consignment greement represents the entire agreement between the parties with respect to Jreamwriter LLC [JLLC], Jreamwriterllc.com, JLLC Books, Drake Urban Books, and/or Shaedaemo Publications, and supersedes any previous or contemporaneous oral or written agreements and understandings.

This consignment agreement governs only Jreamwriter LLC and orders for e-books and digital media content that will sell through the Jreamwriterllc.com website. If Jreamwriterllc.com orders e-books and digital media content from you outside of Jreamwriterllc.com (as Jreamwriter LLC-owned inventory), those transactions will be governed by a separate agreement. We are not responsible for service obstructions that occur due to circumstances beyond our control, such as acts of God, natural disasters, or other state of emergency that may hault or limit this site’s} functions beyond our realms control.

By registering and uploading your content for sale or viewing on through Jreamwriter LLC or jreamwriterllc.com, you assert that you have read and agree to the terms of this consignment agreement herein, and are entering into this consignment agreement as the content provider, You also represent that you are either the author, a legal representative, and/or the publisher for the e-book(s) and/or digital media content in which you are submitting to JREAMWRITER, LLC [JLLC], which umbrellas JLLC Books, Drake Urban Books, and Shaedaemo Publications, AND that you are of sound mind and of legal adult age according to the laws in jurisdication in which you reside to enter into this consignment agreement.

Copyright Infringement Policy

Jreamwriter LLC respects the rights of content distributors and replies promptly to any requests for the removal of copyrighted content, as required by the DMCA. In the case that you find any unauthorized content on our website, and are the rights holder or a representative of the rights holder, please inform us at violations@jreamwriterllc.com, and provide:

An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
A description of the copyrighted work that you claim has been infringed upon;
A specific description of where the material that you claim is infringing is located on the site;
Your address, telephone number, and e-mail address;
A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
